Terms of Use

These Terms of Use constitute a legally binding agreement between you and Atliant, Inc. (together with its affiliates, "Atliant", "we," "our" or "us") governing your use of our products, services, and website (the "Site" and collectively with the foregoing, the "Services").

YOU ACKNOWLEDGE AND AGREE THAT, BY CLICKING ON THE "I AGREE" OR SIMILAR BUTTON, REGISTERING FOR AN ACCOUNT, OR ACCESSING OR USING THE SERVICES, YOU ARE INDICATING THAT YOU HAVE READ, UNDERSTAND AND AGREE TO BE BOUND BY THESE TERMS OF USE, WHETHER OR NOT YOU HAVE REGISTERED WITH THE SITE. IF YOU DO NOT AGREE TO THESE TERMS OF USE, THEN YOU HAVE NO RIGHT TO ACCESS OR USE THE SERVICES.

Any personal data you submit to us or which we collect about you is governed by our Privacy Policy ("Privacy Policy"), available at /privacy-policy. You acknowledge that by using the Services, you have reviewed the Privacy Policy. The Privacy Policy is incorporated by reference into these Terms of Use.

1. Our Services

The Company provides a web-based cybersecurity marketplace platform enabling Vendors to hold Demos with Explorers, enabling Vendors to generate qualified pipeline and gain actionable feedback on their positioning and messaging.

"Vendors" are product teams who use our Services to be matched with Explorers to drive pipeline, obtain feedback on their technology pitch and to drive future sales.

"Explorers" are verified enterprise buyers who provide feedback on technology pitches presented by Vendors during Demos.

"Demos" are recorded video conferences ("Recordings") wherein Vendors present their technology pitches to Explorers and receive feedback.

The Services facilitate connections between Service Users for the fulfillment of Demos. Atliant makes no representations and warranties regarding and is not responsible and disclaims all liability for the competence, qualification, or integrity of Service Users.

2. Account, Password and Security

All Service Users must register with Atliant and create an account to use the Services. By using the Services, you agree to provide true, accurate, current and complete information as prompted by the registration process.

You are solely responsible for maintaining the confidentiality of any log-in, password, and Account number provided by you or given to you by Atliant for accessing the Services.

3. Subscriptions; Billing and Payment

Vendors' use of the Services is governed by the terms and conditions of the subscription you purchase. All Fees are exclusive of applicable taxes. Unless otherwise indicated, all Fees are in U.S. dollars.

4. Service User Generated Content

You are solely responsible for Service User Generated Content, and we act merely as a passive conduit for your online distribution and publication of your Service User Generated Content.

By making available any Service User Generated Content through the Services, you hereby grant to Atliant a worldwide, irrevocable, perpetual, non-exclusive, transferable, royalty-free license, with the right to sublicense, to use, access, view, copy, adapt, modify, distribute, license, sell, transfer, publicly display, publicly perform, transmit, stream, broadcast and otherwise exploit such Service User Generated Content.

5. Representations and Warranties

You represent and warrant that: (i) you are 18 years of age or older, and (ii) you have the right, authority and capacity to enter into this Agreement.

You agree not to engage in any prohibited activities, including: copying or distributing any part of the Services; using any automated system to access the Services; transmitting spam; attempting to interfere with system integrity; violating any laws; uploading viruses; impersonating another person; or harassing other users.

6. Termination and Suspension

Either party may terminate these Terms of Use for any or no cause, at any time. You may cancel your Account at any time by written notice to contact@atliant.io.

We reserve the right to refuse the Services to anyone for any reason at any time. Atliant reserves the right to modify or discontinue, temporarily or permanently, all or any portion of the Services at its sole discretion.

7. Links to Third-Party Websites

The Services may contain links to third-party websites. Such links do not constitute endorsement by Atliant. Atliant does not control any such websites and is not responsible for their availability or accuracy.

8. Intellectual Property Rights

All Proprietary Material that users see or read through the Services is owned by Atliant, excluding Service User Generated Content. The Proprietary Material is protected by domestic and international laws governing copyright, patents, and other proprietary rights.

Atliant collects certain data relating to Demos, including recordings, transcriptions, and profile data ("Demo Metadata"). Atliant shall own all rights, title and interest in and to all Demo Metadata.

The Services contain AI Features which are useful or necessary to provide the Services. The Company will not use Vendor Data for training or otherwise improving AI Provider's services.

9. Copyright Complaints and Copyright Agent

Atliant respects the intellectual property of others. If you believe any materials provided on the Services infringe upon your copyright, please contact legal@atliant.io.

10. Confidential Information

You acknowledge that Confidential Information is a valuable asset and agree that you will not disclose, transfer, use any Confidential Information for any purpose other than using the Services in accordance with these Terms of Use.

11. Disclaimer of Warranties; Limitation of Liability; Release

THE SERVICES ARE PROVIDED ON AN "AS IS" BASIS WITHOUT WARRANTIES OF ANY KIND. UNDER NO CIRCUMSTANCES WILL ATLIANT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES. IN NO EVENT WILL THE AGGREGATE LIABILITY EXCEED THE LOWER OF THE TOTAL FEES PAID DURING THE SIX MONTHS PRIOR OR ONE HUNDRED DOLLARS ($100).

12. Indemnification

You hereby agree to indemnify, defend, and hold harmless Atliant and its officers, directors, employees, agents from and against any and all losses, liabilities, damages or expenses incurred in connection with your use of the Services, your breach of this Agreement, your violation of any law, and any content submitted by you.

13. Governing Law and Jurisdiction

This Agreement will be governed by the laws of the State of California, without regard to choice of law principles. Exclusive jurisdiction resides in the state and federal courts of San Francisco County, California.

14. No Agency; No Employment

No agency, partnership, joint venture, employer-employee or franchiser-franchisee relationship is intended or created by this Agreement.

15. General Provisions

This Agreement constitutes the complete and exclusive agreement between you and Atliant with respect to its subject matter.

16. Changes to this Agreement and the Services

Atliant reserves the right to change, modify, add to, supplement, suspend, discontinue, or delete any of the terms and conditions of this Agreement at any time.

17. No Rights of Third Parties

None of the terms of this Agreement are enforceable by any persons who are not a party to this Agreement.

18. Notices and Consent to Receive Notices Electronically

You consent to receive any agreements, notices, disclosures and other communications electronically including by e-mail or by posting Notices on this Site.
